Terms of Service

These Terms of Service ("Terms") govern your access to and use of Super Fishing Catch, including our games, websites, applications, and related services (collectively, the "Service") provided by Caelis Foundry Inc. ("Caelis Foundry," "we," "our," or "us"), a company located at 730 W Hampden Ave, Ste 516, Englewood, CO 80110, United States.

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue your use of the Service.

1. Eligibility

You must be at least 13 years of age to access or use the Service, or such higher minimum age as may be required by applicable law in your jurisdiction.

If you are under the age of majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf where required by applicable law.

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

By using the Service, you represent that you meet the applicable eligibility requirements.

2. Account Registration and Security

Certain features of the Service may require you to create or use an account.

You agree to provide accurate, complete, and current information when creating or maintaining an account.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You must not share your account credentials with others or permit unauthorized access to your account.

You must notify Caelis Foundry promptly if you believe your account has been accessed or used without authorization.

3. Limited License

Subject to your compliance with these Terms, Caelis Foundry grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial entertainment purposes.

You may not copy, reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any portion of the Service except to the extent expressly permitted by applicable law.

You may not use the Service for any commercial purpose without our prior written authorization.

4. User Conduct

You agree that you will not:

• Use cheats, hacks, bots, scripts, automation software, exploits, or unauthorized third-party tools.
• Attempt to gain unauthorized access to the Service, its servers, networks, accounts, or related systems.
• Interfere with or disrupt the operation of the Service or negatively affect other users' experiences.
• Exploit bugs, glitches, vulnerabilities, or unintended features of the Service.
• Upload or transmit unlawful, abusive, defamatory, threatening, obscene, infringing, or otherwise objectionable content.
• Engage in fraud, phishing, spam, harassment, impersonation, or unauthorized commercial activities through the Service.
• Use the Service in violation of any applicable law or regulation.
• Attempt to obtain virtual items, rewards, or other benefits through fraudulent or unauthorized means.

Caelis Foundry reserves the right to determine, in its reasonable discretion, whether any conduct violates these Terms and to take appropriate action.

5. Virtual Items and Purchases

The Service may include virtual currency, virtual items, in-game content, subscriptions, or other digital content.

Virtual items and other digital content are licensed to you, not sold to you, and do not constitute real-world currency, monetary assets, or property.

Virtual items have no cash value outside the Service and may not be exchanged for real money or other goods or services except where expressly permitted by the Service.

Unless otherwise required by applicable law or the policies of the applicable platform, purchases of virtual items and digital content are final and non-refundable.

Caelis Foundry may modify, suspend, replace, or discontinue virtual items, pricing, features, or other aspects of the Service at any time, subject to applicable law.

You may not sell, transfer, trade, or otherwise distribute virtual items outside the Service unless expressly authorized by us.

6. Subscription Services

Certain features of the Service may be offered through recurring subscription plans.

Where applicable, subscriptions will automatically renew for successive billing periods unless canceled before the applicable renewal date.

You authorize Caelis Foundry or the applicable platform provider to charge your selected payment method for applicable subscription fees.

Subscription prices, billing periods, renewal terms, and cancellation procedures will be presented to you at the time of purchase.

Subscription management and cancellation may be completed through the Apple App Store, Google Play, or another authorized distribution platform, depending on where the subscription was purchased.

Cancellation generally takes effect at the end of the current paid subscription period unless otherwise required by applicable law or stated at the time of purchase.

7. Refund Policy

Except where otherwise required by applicable law or the policies of the applicable platform, purchases are non-refundable.

Refund requests for purchases made through the Apple App Store or Google Play should generally be submitted directly through the applicable platform in accordance with its refund procedures.

Caelis Foundry may review refund requests involving unauthorized transactions, technical errors, duplicate charges, fraud, abuse, or other exceptional circumstances.

We reserve the right to deny refund requests involving fraud, abuse, payment manipulation, or violations of these Terms, to the extent permitted by applicable law.

8. User Content

You may submit usernames, messages, screenshots, gameplay content, feedback, suggestions, or other materials ("User Content") through or in connection with the Service.

You retain ownership of your User Content. However, by submitting User Content, you grant Caelis Foundry a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to use, reproduce, modify, adapt, display, publish, distribute, and otherwise process such User Content for the purposes of operating, maintaining, improving, developing, and promoting the Service.

You represent and warrant that you own or otherwise have all necessary rights, licenses, and permissions to submit your User Content and grant the foregoing license.

You must not submit User Content that violates applicable law, infringes third-party rights, or violates these Terms.

Caelis Foundry may remove, restrict, or disable access to User Content that we reasonably believe violates these Terms or applicable law.

9. Intellectual Property

All intellectual property rights in and to the Service, including the game, software, source and object code, artwork, graphics, animations, music, sounds, characters, logos, trademarks, text, interfaces, designs, and other content, are owned by or licensed to Caelis Foundry.

The Super Fishing Catch name, branding, logos, and related materials may be protected by applicable intellectual property laws.

Nothing contained in these Terms grants you any ownership interest in the Service or any intellectual property belonging to Caelis Foundry or its licensors.

Except for the limited license expressly granted under these Terms, all rights are reserved by Caelis Foundry and its licensors.

10. Privacy

Your use of the Service is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information in connection with the Service.

By using the Service, you acknowledge that your personal information may be collected, processed, stored, and used as described in our Privacy Policy.

11. Suspension and Termination

Caelis Foundry may suspend, restrict, or terminate your access to all or part of the Service if you violate these Terms or engage in unlawful, fraudulent, abusive, deceptive, or harmful conduct.

We may also take action against accounts or users that compromise the security, integrity, or proper operation of the Service.

Where permitted by applicable law, we may discontinue, modify, or suspend all or any portion of the Service at any time, including for maintenance, security, technical, operational, or business reasons.

Upon termination, the license granted to you under these Terms will immediately cease, except for provisions that by their nature should survive termination.

Termination does not affect any rights or obligations that accrued before termination.

12. Third-Party Services

The Service may integrate with or interact with third-party services, including Apple, Google, cloud hosting providers, analytics providers, advertising and attribution partners, payment processors, customer support platforms, and other technology providers.

Third-party services may be subject to their own terms of service, privacy policies, and other applicable rules.

Caelis Foundry does not control and is not responsible for the availability, security, functionality, or content of independent third-party services.

Your use of third-party services is governed by the applicable third party's terms and policies.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Caelis Foundry does not warrant that the Service will be uninterrupted, error-free, secure, reliable, or available at all times.

We do not warrant that defects or errors will always be corrected or that the Service will be free from harmful components.

To the fullest extent permitted by applicable law, Caelis Foundry disclaims all express, implied, statutory, and other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes or limits any warranty or consumer protection right that cannot lawfully be excluded or limited under applicable law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Caelis Foundry, its affiliates, directors, officers, employees, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Service.

This includes, to the extent permitted by law, damages arising from loss of profits, revenue, data, goodwill, virtual items, gameplay progress, or other intangible losses.

To the extent permitted by applicable law, Caelis Foundry's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount you paid to Caelis Foundry for the Service during the six (6) months immediately preceding the event giving rise to the claim, or (b) US$100, where permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Caelis Foundry, its affiliates, directors, officers, employees, licensors, service providers, and business partners from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service;
• Your violation of these Terms;
• Your violation of applicable law or regulation;
• Your infringement or violation of any third-party rights; or
• Your User Content or other materials submitted by you.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the State of Colorado, without regard to its conflict of law principles, except to the extent that applicable mandatory law provides otherwise.

Before initiating formal legal proceedings, you agree to first contact Caelis Foundry at [email protected] and provide a reasonable opportunity to resolve the dispute informally.

Unless otherwise required by applicable law, any dispute arising out of or relating to these Terms or the Service shall be brought in the state or federal courts located in Colorado, and you consent to the jurisdiction and venue of such courts.

Nothing in this section limits any rights you may have under mandatory consumer protection laws applicable to you.

17. Changes to These Terms

Caelis Foundry may revise these Terms from time to time to reflect changes to the Service, our business practices, technologies, or applicable legal requirements.

Updated Terms will become effective upon publication on our website or within the Service, unless otherwise stated.

The Effective Date at the top of these Terms will be updated when material changes are made.

Your continued access to or use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree to the revised Terms, you must discontinue your use of the Service.
